By accessing or using this website, our mobile application, and any of our services (altogether, “Ribh Finance” or the “Platform”), you agree to the terms and conditions below (“Terms of Use” or “Terms”).

To access the Fiat to crypto conversion, wallet services and any other service provided on the Platform (“Services”), you must open a user account (“User Account”) by providing the necessary information which we may require. You should review our privacy notice (hyperlink) for more information on how we use your personal data.

We reserve the right to change these Terms from time to time without prior notice, by posting an updated copy on this website. You acknowledge and agree that it is your responsibility to review these Terms periodically to familiarise yourself with any modifications. Your continued use of this website after such modifications will constitute an acknowledgment and agreement with the modified Terms.

1. About Us

At Ribh Finance, we empower local businesses by providing a seamless and innovative payment solution designed to protect against the depreciation of local currency. Our platform allows businesses to receive payments for their goods and services effortlessly, with an automatic conversion to USDC (USD Coin). This ensures that your hard-earned revenue retains its value, safeguarding it from the impacts of inflation. With a focus on reliability, security, and user-friendliness, Ribh Finance is dedicated to supporting the financial stability and growth of local enterprises.

2. Age Restriction

The Platform is intended solely for users who are 18 or older. By accessing or using the Platform, you represent and warrant that you are at least 18 years old or older. We do not knowingly transact with or provide any services to people younger than the age of 18. We reserve the right to automatically terminate your use of our Platform once we discover that you are less than 18 years old.

3. Registration and User Account

3.1 Registration of Ribh Finance User Account: You must sign up for a User Account to use the Services by providing us with your full legal name, a valid email address, home address, country of residence, place from which you are accessing our service, your mobile phone number, marital status, and occupation. By registering or using a User Account, you agree and represent that you have created your User Account, and will use it, only for yourself and not on behalf of any third party, unless you have obtained prior written approval from us. You are fully responsible for all activities that occur under your User Account. We, however, reserve the right to reject your application for a User Account, or cancel an existing User Account, for any reason, at our sole discretion.

3.2 Notification of Change: In the event that you change any information provided to us at registration, you undertake to notify us within 14 days of such change.

3.3 Identity Verification: In order to activate and gain full user access to the Platform and Services, you must go through the Know Your Customer (KYC) procedure as set by our Anti-Money Laundering (AML) Policy. Failure to provide information necessary for the KYC procedure may result in the termination of your Account access. All the information that you provide must be complete, accurate, and truthful. You must update this information whenever it changes. You authorise us to make inquiries, whether directly or through third parties, that we consider necessary to verify your identity or protect you and/or us against fraud, moneylaundering, terrorist financing, or other financial crime, and to take any action we deem necessary based on the results of such inquiries. When we carry out inquiries, you acknowledge and understand that your personal data may be disclosed to identity verification, compliance data recordation, credit reference, fraud prevention, or financial crime agencies, and that these agencies may respond to our inquiries in full. 3.4 User Account Security: We are committed to maintaining the security of our Platform, and have implemented industry-standard protection for the Services. You must keep and treat all credentials (such as username and password) associated with the Platform and Services as confidential information and not disclose such information to any third party. You are solely responsible for managing and maintaining the security of any information relating to such credentials and agree that we assume no liability for any loss or consequences caused by authorised or unauthorised use of your User Account credentials or any resulting harm you may suffer.

3.5 If you suspect that your password has become known or may become known to a third party, you must immediately inform us about it via email at support@ribhfinance.com. Once we receive your message, we will block access to your Account as soon as possible. We will work with you to establish access to your Account, but you are solely responsible for any loss or damages incurred by you as a result of a third party accessing your Account.

3.6 We may restrict or block access to Your Account if we suspect that Your Account has been used without proper authorization. This may include the following:

• 3.6.1. Your password has become known or may have become known to a third party;
• 3.6.2. we suspect that Your Account has been used for illegal transactions;
• 3.6.3. other cases at our discretion, to ensure the safety of your Account or to prevent losses that might be inflicted upon you, us or any other user of the Platform.

3.7 We shall be entitled not to approve your transaction if:

• 3.7.1. You fail to comply with these Terms;
• 3.7.2. we have suspicions about Your identity as the user who initiates the transaction;
• 3.7.3. Your source of income and/or the contents of Your transaction; and the origin/form of any of the documents You have provided to prove the transaction;
• 3.7.4. Your instruction on the transaction is unclear or corrupted due to any reason;

4. Accessing the Services

4.1 Limited License: We grant you a revocable, limited, non-exclusive, non-transferable, royalty-free, and non-sublicensable licence to access and use the Platform and services through your computer or Internet-compatible devices for your personal or internal purposes solely in accordance with these Terms.

4.2 Restrictions:

• 4.2.1. You may only use our services for your own personal, non-commercial use and not on behalf of or for the benefit of any third party. Your use of the Services must comply with all applicable laws. If your use of the Services is prohibited by applicable law, then you are not authorised to use the Services. We are not responsible if you use the Services in any manner that violates applicable law.
• 4.2.2. Your use of the Services should not violate public interests, public morals, or the legitimate interests of others, including any actions that would interfere with, disrupt, negatively affect, or prohibit other Users from using the Services;
• 4.2.3. You must not breach these Terms, the Privacy Notice, or any other agreement between you and us.
• 4.2.4. You shall not reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, use of the Service, or access to the Service without our express written permission.
• 4.2.5. You shall not send or receive what we reasonably believe to be potentially fraudulent funds.
• 4.2.6. You must not refuse to cooperate in an investigation or provide confirmation of your identity or any information you provide to us.
• 4.2.7. You shall not control a User Account that is linked to another User Account that has engaged in any of these restricted activities.
• 4.2.8. You may not (i) use any deep linking, web crawlers, bots, spiders or other automatic devices, programs, scripts, algorithms or methods, or any similar or equivalent manual processes to access, obtain, copy or monitor any part of the Platform, or replicate or bypass the navigational structure or presentation of our Services in any way, in order to obtain or attempt to obtain any materials, documents or information in any manner not purposely provided through our Services; (ii) attempt to access any part or function of the Platform without authorization, or connect to our Services or any of our servers or any other systems or networks of any Services provided through the services by hacking, password mining or any other unlawful or prohibited means; (iii) probe, scan or test the vulnerabilities of our Services or any network connected to the Platform, or violate any security or authentication measures on our Services or any network connected to our Services; (iv) reverse look-up, track or seek to track any information of any other Users or visitors of our Services; (v) take any actions that imposes an unreasonable or disproportionately large load on the infrastructure of systems or networks of our Services or the infrastructure of any systems or networks connected to our services; (vi) use any devices, software or routine programs to interfere with the normal operation of our Services or any transactions on our Services, or any other person’s use of ourServices; (vii) forge headers, impersonate, or otherwise manipulate identification to disguise your identity or the origin of any messages or transmissions you send to us; or (viii) use our Services in an illegal way.
• 4.2.9. You shall not harass and/or threaten our employees, agents, or other users

5. Services

Ribh finance offers the following Services via the Platform:

• USD Settlements. Our unique USDC settlement account ensures all your local payment collections are instantly converted and settled in USDC.
• Global Pay. Ribh Finance lets you leverage your USDC holdings to power fast payouts to business partners in 40+ countries at low fees. You can seamlesly pay business vendors and suppliers in a few taps.
• Dollar Cards. Request for a physical or virtual Dollar expense card to spend and manage your business finances effectively. Set customized limits and track your business expenses just how you want.

5.1 Service Agreement:

Ribh Finance allows businesses to receive payments for goods or services, which are automatically converted to USDC. By using our payment services, you agree to the following:

• You will only use our Services for lawful purposes.
• You will comply with all applicable laws and regulations.
• You will provide accurate and complete information about your transactions.
• You authorize us to convert payments into USDC on your behalf.

5.2 Fees:

We may charge fees for certain transactions or services provided through our platform. You will be informed of any applicable fees before completing a transaction. By proceeding with the transaction, you agree to pay the specified fees.

6. Intellectual Property

All content, trademarks, and other intellectual property on our platform are owned by or licensed to Ribh Finance. You agree not to use, reproduce, or distribute any content from our platform without our prior written consent.

7. Privacy

Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using our Services, you consent to our collection and use of your information as described in the Privacy Policy.

8. Limitation Of Liability

To the maximum extent permitted by law, Ribh Finance shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our Services.
• Any unauthorized access to or use of our servers and/or any personal information stored therein.
• Any interruption or cessation of transmission to or from our Services.
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Services by any third party.

9. Indemnification

You agree to indemnify and hold harmless Ribh Finance and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of our Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.
